1. Introduction
Edusekart is an online marketplace operated by **TFC Sales & Marketing** ("TFC", "Edusekart", "we", "us" or "our") that enables independent sellers and businesses to offer products to customers through the Edusekart platform.
Edusekart operates as a marketplace and does not generally own or maintain inventory belonging to independent sellers. Unless expressly stated otherwise for a particular product or transaction, the relevant seller is responsible for the sale, product compliance, fulfilment and issuance of the applicable tax invoice.
This Seller Registration Policy ("Policy") establishes the requirements and procedures for businesses and individuals wishing to register as sellers on Edusekart.
By applying for seller registration, the applicant confirms that the information and documents submitted to Edusekart are complete, accurate and genuine and agrees to comply with this Policy, the Seller Agreement, applicable Edusekart policies and all applicable laws and regulations.
2. Eligibility to Register
Seller registration is generally available to:
* Individuals carrying on a lawful business;
* Sole proprietorships;
* Partnership firms;
* Limited Liability Partnerships;
* Companies;
* Other legally recognized business entities permitted to sell the relevant products in India.
Edusekart may restrict registration for certain categories of products or require a particular legal structure, licence, registration or qualification where required by applicable law.
Registration with Edusekart does not constitute a government licence, certification, approval or endorsement of the seller or its products.
3. Seller Information and KYC
Applicants must provide accurate information required for seller verification.
Depending on the seller's legal structure and products offered, Edusekart may require:
Individual / Proprietorship
* Full legal name
* Trade/business name, if applicable
* PAN
* Identity and address proof, where required
* Business address
* Contact details
* Bank account details
* GSTIN, where applicable
* Applicable licences and registrations
Partnership / LLP / Company
* Legal entity name
* PAN
* Certificate of incorporation/registration, where applicable
* Partnership deed/LLP documentation, where applicable
* Registered/business address
* Details of authorised representative
* PAN and identity details of authorised representative, where required
* GSTIN, where applicable
* Bank account details
* Applicable licences and registrations
Edusekart may request additional documents where necessary to verify the identity, ownership, authority, business activity or legal status of the seller.
4. GST and Tax Information
Sellers are responsible for complying with all applicable tax laws relating to their business and supplies.
Where GST registration is applicable, the seller must provide a valid GSTIN and maintain accurate GST information on Edusekart.
The seller is responsible for:
* Correct classification of products;
* Applicable GST rate;
* Issuing legally compliant tax invoices where required;
* Reporting its taxable supplies correctly;
* Payment of applicable taxes;
* Filing applicable GST returns;
* Maintaining appropriate tax records; and
* Complying with other applicable tax requirements.
Edusekart may verify GST information and may suspend or restrict selling privileges where the GST information provided is invalid, cancelled, suspended, materially inconsistent or otherwise appears non-compliant.
Where applicable, Edusekart will comply with the GST provisions governing electronic commerce operators, including applicable tax collection, reporting and related requirements.
5. Bank Account and Seller Settlements
The seller must provide accurate bank account information for settlement of amounts payable to the seller.
The bank account should ordinarily belong to the seller or the relevant legal entity whose details have been provided during registration.
Edusekart may require additional verification before activating or changing settlement bank details.
The seller is responsible for ensuring that the bank information provided to Edusekart is accurate and up to date.
Edusekart will make seller settlements in accordance with the applicable Seller Agreement, settlement schedule, deductions, refunds, returns, chargebacks, taxes and other adjustments.
6. Product and Category Eligibility
Sellers may list only products that are legally permitted to be sold in India and are authorised for sale by the seller.
Certain categories may require additional licences, registrations, certificates, declarations or prior approval.
Examples include, where applicable:
* Food and food products — applicable FSSAI registration/licence;
* Pre-packaged commodities — applicable Legal Metrology compliance;
* Cosmetics and personal-care products — applicable regulatory requirements;
* Drugs and pharmaceutical products — applicable licences and restrictions;
* Electrical/electronic products — applicable BIS or other mandatory requirements;
* Medical devices — applicable regulatory requirements;
* Imported products — applicable import, labelling and other requirements;
* Products carrying third-party brands — appropriate brand/trademark authorisation.
Edusekart may require documentary evidence before allowing products in regulated categories to be listed.
7. Product Authenticity and Brand Rights
Every seller must ensure that all products listed on Edusekart are genuine and lawfully sourced.
A seller must not:
* Sell counterfeit products;
* Sell unauthorised branded products;
* Use another person's trademark without lawful authority;
* Upload copyrighted photographs, descriptions or other content without permission;
* Misrepresent itself as an authorised dealer or distributor;
* Misrepresent the manufacturer, importer, brand owner or country of origin;
* Sell products obtained through unlawful or unverifiable sources.
Edusekart may request invoices, purchase records, brand authorisation letters, distributor agreements, import documents or other evidence of authenticity.
Failure to provide satisfactory evidence may result in listing removal, seller suspension or termination.
8. Product Information and Listing Requirements
Sellers must provide complete, accurate and current information for every product.
Depending on the nature of the product, required information may include:
* Product name;
* Brand;
* Product description;
* Product images;
* Variants;
* Size/dimensions;
* Material/composition;
* Net quantity;
* MRP;
* Selling price;
* Country of origin;
* Manufacturer information;
* Packer/importer information, where applicable;
* Consumer-care information, where applicable;
* Warranty/guarantee information;
* Expiry/best-before information, where applicable;
* Applicable licences or registration numbers;
* Return/replacement eligibility;
* Other mandatory declarations.
For applicable pre-packaged commodities, mandatory declarations required to be displayed in e-commerce listings must be provided. The Department of Consumer Affairs specifically states that e-commerce entities must display the prescribed mandatory declarations, subject to the applicable Legal Metrology rules.
9. Pricing and Promotional Information
Sellers must ensure that all prices, discounts and promotional claims are genuine, accurate and capable of being substantiated.
Sellers must not:
* Create fictitious discounts;
* Manipulate MRP or selling-price information;
* Make misleading "lowest price" or "best price" claims;
* Create false urgency or scarcity;
* Use misleading promotional claims;
* Hide mandatory charges;
* Misrepresent taxes or shipping charges.
Edusekart may reject or remove listings containing misleading or potentially unlawful pricing or promotional information.
The Consumer Protection framework and the CCPA's Dark Patterns Guidelines prohibit specified manipulative practices, including false urgency and basket sneaking.
10. Inventory and Fulfilment Responsibility
Unless otherwise expressly agreed in writing, independent sellers are responsible for:
* Maintaining adequate inventory;
* Accurate stock availability;
* Proper packaging;
* Dispatching orders within the applicable processing period;
* Providing the correct product;
* Providing products that match the listing;
* Providing required documentation;
* Complying with applicable packaging and labelling requirements;
* Handling seller-side return obligations;
* Complying with applicable warranty obligations.
A seller must not accept an order when the product is unavailable unless Edusekart's system expressly permits such functionality.
Repeated stock-outs, delayed dispatches, cancellations or fulfilment failures may result in restrictions on the seller account.
11. Tax Invoice
Unless otherwise expressly stated for a particular transaction, the relevant seller is responsible for issuing the applicable tax invoice or other legally required sale document for the products supplied by that seller.
Seller invoices must contain the information required under applicable tax laws.
Edusekart may provide technological or transaction-related facilities but does not relieve the seller of its statutory tax and invoicing obligations.
12. Returns, Refunds and Consumer Complaints
Sellers must comply with Edusekart's Return, Refund and Cancellation Policies and all applicable consumer-protection requirements.
Where a return or refund is attributable to the seller or product, including circumstances such as:
* Wrong product;
* Damaged product;
* Defective product;
* Product materially different from the listing;
* Missing product;
* Counterfeit/unauthorised product;
* Misrepresentation;
* Failure to comply with the applicable product warranty;
the seller may be responsible for the applicable return, refund, replacement, logistics or other costs in accordance with the Seller Agreement and applicable law.
Edusekart may intervene in disputes to facilitate resolution and protect consumers.
A seller must not refuse a lawful consumer remedy merely by directing the consumer to deal with the seller independently.
3. Seller Grievance and Customer Support
Sellers must respond promptly to customer complaints and requests routed through Edusekart.
Sellers are required to:
* Maintain accurate contact information;
* Respond within the applicable response period;
* Provide requested documents or explanations;
* Cooperate with return/refund investigations;
* Cooperate with counterfeit or product-safety investigations;
* Honour applicable warranty commitments;
* Assist Edusekart in resolving consumer complaints.
Edusekart may maintain a complaint/ticket system through which complaints can be tracked.
The Consumer Protection (E-Commerce) Rules require appropriate grievance mechanisms for e-commerce entities, including mechanisms through which complaints can be tracked.
14. Prohibited Products
Sellers must not list or sell products prohibited by Indian law or by Edusekart's Prohibited Products Policy.
Edusekart may also prohibit products that present unacceptable legal, safety, regulatory, counterfeit, reputational or consumer-protection risks even where their sale may otherwise be technically permissible.
Examples may include products requiring licences or approvals that the seller cannot demonstrate.
Edusekart may remove a prohibited listing immediately and may suspend the seller pending investigation.
15. Seller Content and Intellectual Property
The seller represents that it has the lawful right to use all:
* Product photographs;
* Videos;
* Product descriptions;
* Logos;
* Trademarks;
* Brand names;
* Documents;
* Marketing materials; and
* Other content uploaded to Edusekart.
The seller grants Edusekart the necessary non-exclusive rights to host, display, reproduce, format and communicate the listing content for operating and promoting the marketplace, subject to the Seller Agreement.
Edusekart may remove content where it receives a credible intellectual-property complaint or identifies a potential infringement.

## 16. Seller Verification
Registration does not guarantee approval.
Edusekart may conduct verification before, during or after seller activation.
Verification may include:
* KYC verification;
* PAN verification;
* GST verification;
* Bank-account verification;
* Address verification;
* Licence verification;
* Brand-authorisation verification;
* Product-document verification;
* Business-activity verification;
* Additional risk or compliance checks.
Edusekart may request additional information whenever reasonably necessary for compliance, fraud prevention, consumer protection or marketplace security.

## 17. Seller Approval
A seller account may be:
* Approved;
* Approved subject to conditions;
* Partially approved for selected categories;
* Placed under review;
* Temporarily restricted; or
* Rejected.
Approval of a seller does not constitute approval or certification of every product subsequently uploaded by that seller.
Edusekart may require individual product or category approval even after the seller account has been activated.

Sellers are responsible for maintaining the confidentiality of their account credentials.
Sellers must immediately inform Edusekart if they suspect:
* Unauthorised access;
* Account compromise;
* Fraudulent activity;
* Unauthorised bank-account changes;
* Misuse of seller credentials.
Edusekart may temporarily restrict an account to protect the seller, customers or marketplace.

## 19. Suspension and Termination
Edusekart may suspend, restrict or terminate a seller account where it reasonably believes that the seller:
* Provided false or misleading information;
* Submitted forged or invalid documents;
* Sold prohibited products;
* Sold counterfeit products;
* Violated applicable law;
* Violated the Seller Agreement;
* Repeatedly breached customer-service or fulfilment requirements;
* Manipulated reviews, orders or transactions;
* Engaged in fraudulent activity;
* Misused Edusekart's platform;
* Infringed intellectual-property rights;
* Failed required compliance verification;
* Created a material risk to consumers or the platform.
Where appropriate, Edusekart may provide the seller an opportunity to respond before taking a final action. Immediate action may be taken where necessary to protect consumers, comply with law, prevent fraud or address an urgent safety or regulatory risk.
Termination does not extinguish obligations or liabilities that arose before termination.

## 20. Seller Responsibility for Legal Compliance
The seller is solely responsible for obtaining and maintaining all registrations, licences, approvals, certificates and permissions applicable to its business and products.
These may include, where applicable:
* GST registration;
* PAN;
* FSSAI registration/licence;
* Legal Metrology registrations/declarations;
* BIS certification/licensing;
* Drug licences;
* Medical-device registrations;
* Import-related registrations;
* Trademark/brand authorisation;
* Product-specific approvals;
* Other statutory registrations.
Edusekart's acceptance of a seller or product does not replace any statutory approval required from a competent authority.

Sellers must maintain appropriate records relating to products sold through Edusekart, including purchase/source records, invoices, licences, product compliance documents and other records required by applicable law.
Sellers must cooperate with reasonable requests from Edusekart relating to:
* Consumer complaints;
* Product recalls;
* Government or regulatory inquiries;
* Counterfeit investigations;
* Product-safety concerns;
* Tax or compliance verification;
* Legal or law-enforcement requests.

## 22. Data and Privacy
Seller information and personal information collected during registration and marketplace operations will be processed in accordance with Edusekart's Privacy Policy and applicable data-protection laws.
Sellers must use customer information received through Edusekart only for legitimate purposes connected with fulfilling orders, providing customer service and complying with applicable law.
Sellers must not:
* Sell customer information;
* Use customer information for unrelated marketing without an appropriate lawful basis;
* Export customer databases for unauthorised purposes;
* Contact customers outside permitted business purposes;
* Share customer information with unauthorised third parties.
Edusekart and its sellers must apply appropriate safeguards to protect personal information.
India's Digital Personal Data Protection framework and the Digital Personal Data Protection Rules, 2025 should be considered in the platform's privacy and data-handling architecture as their provisions become applicable according to the notified enforcement timeline.

Sellers must promptly update Edusekart if there is any material change to:

* GST status;

* Bank account;
* Authorised representative;
* Product licences;
* Brand authorisation;

Edusekart may temporarily restrict selling or settlements where updated information is required for verification or legal compliance.

Seller registration does not guarantee:
* Minimum sales;
* Orders;
* Customer traffic;
* Search ranking;
* Product visibility;
* Advertising performance;
* Revenue;
* Continued eligibility for any particular category.
Edusekart may determine product placement, ranking, visibility and promotional opportunities according to its applicable policies and commercial arrangements.

* All applicable laws and regulations.
Where there is a conflict between this Policy and mandatory applicable law, the mandatory legal requirement will prevail.
